Welcome to My Premium Learning ("MPL"), an online learning platform owned and operated by MP Nerds LLC ("MP Nerds," "we," "us," or "our").

These Terms of Use ("Terms") govern your access to and use of the My Premium Learning website, applications, services, artificial intelligence features, learning tools, content, subscriptions, and related functionality (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Platform.

1. About My Premium Learning

My Premium Learning is a digital learning platform designed to help users discover, create, organize, and engage with educational content and personalized learning experiences.

Depending on the features available to you, the Platform may provide tools including:

• AI-assisted learning;
• personalized learning paths;
• educational content and resources;
• quizzes and assessments;
• progress tracking;
• learning recommendations;
• competitions, challenges, or achievement features;
• document or content generation;
• learning libraries;
• user-created learning materials;
• subscriptions or premium features; and
• other educational tools introduced from time to time.

Features may be added, changed, restricted, or removed as the Platform develops.

2. Eligibility

You must be legally capable of entering into an agreement to use the Platform independently.

Where applicable law requires parental or guardian consent for a minor to use an online service, the appropriate consent must be obtained before the Platform is used.

We may suspend or restrict accounts where we reasonably believe these Terms have been violated, fraudulent activity has occurred, or Platform security may be at risk.

4. Educational Purpose

My Premium Learning provides tools and content intended to support learning and personal development.

The Platform does not guarantee:

• specific educational outcomes;
• examination results;
• qualifications;
• certifications unless expressly stated;
• employment;
• admission to an educational institution;
• professional advancement;
• financial results; or
• mastery of any particular subject.

Learning results depend on numerous factors, including the user's effort, circumstances, prior knowledge, learning methods, and use of the Platform.

MPL should be used as a learning resource and not as a substitute for qualified professional instruction where professional expertise is required.

5. Artificial Intelligence

My Premium Learning may use artificial intelligence ("AI") to generate, recommend, organize, summarize, explain, personalize, or otherwise assist with learning content.

AI-generated information may occasionally be incomplete, inaccurate, outdated, misleading, or inappropriate for a particular situation.

Users should independently verify important information, particularly where it relates to professional, academic, legal, medical, financial, safety, regulatory, or other consequential matters.

AI-generated content does not constitute professional advice.

You remain responsible for determining whether AI-generated content is appropriate for your intended purpose.

We do not guarantee that AI-generated responses will be accurate, complete, original, or suitable for any specific educational requirement.

6. Personalized Learning

The Platform may use information provided by you, your Platform activity, learning preferences, assessment results, progress, or other relevant information to personalize your experience.

Personalized recommendations are intended to assist learning and should not be interpreted as a guarantee that a particular learning method, course, subject, or activity is optimal for you.

You remain responsible for deciding how to use recommendations provided by the Platform.

7. User-Generated Content

Users may be permitted to create, upload, submit, store, or share materials through the Platform ("User Content").

You retain ownership of your User Content, subject to any rights granted under these Terms.

By submitting User Content to the Platform, you grant MP Nerds LLC a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display that content to the extent reasonably necessary to operate, maintain, secure, and provide the Platform and its features.

You represent that you have the necessary rights and permissions to submit any User Content you provide.

You must not upload content that:

• infringes intellectual property rights;
• violates privacy or confidentiality rights;
• is unlawful;
• contains malicious software;
• is fraudulent or deceptive;
• promotes illegal activity;
• contains abusive or threatening material; or
• otherwise violates these Terms.

We may remove or restrict User Content that violates these Terms or applicable law.

8. Academic Integrity

My Premium Learning is intended to support learning, not facilitate academic misconduct.

You are responsible for complying with the rules of your school, university, employer, certification provider, training organization, or other institution.

You must not use MPL to engage in cheating, plagiarism, examination fraud, unauthorized assistance, or other prohibited academic activity.

Where AI-assisted work is subject to disclosure requirements, you are responsible for making the appropriate disclosure.

9. Intellectual Property

Unless otherwise stated, the Platform and its underlying content, branding, software, interfaces, graphics, designs, databases, functionality, and other materials are owned by or licensed to MP Nerds LLC and are protected by applicable intellectual property laws.

This includes the My Premium Learning name, branding, logos, Platform design, proprietary learning tools, and related intellectual property.

You may use Platform materials for your personal and permitted educational use.

Unless expressly authorized, you may not:

• copy or reproduce substantial portions of the Platform;
• sell or commercially redistribute Platform content;
• modify or create unauthorized derivative products from proprietary Platform materials;
• scrape or systematically extract Platform data;
• reverse engineer Platform software;
• remove copyright, trademark, or ownership notices; or
• use MP Nerds or My Premium Learning branding without permission.

10. Third-Party Content and Services

The Platform may contain links, integrations, embedded content, services, or information provided by third parties.

MP Nerds LLC does not control third-party services and is not responsible for their availability, accuracy, security, content, policies, or practices.

Your use of third-party services may be governed by separate terms and privacy policies.

The inclusion of third-party content or links does not necessarily constitute an endorsement.

11. Subscriptions and Paid Features

Certain MPL functionality may be available through free access, subscriptions, one-time purchases, premium features, or other paid offerings.

Prices and included features will be displayed before purchase where applicable.

Where a subscription automatically renews, this will be disclosed during the purchasing process.

You authorize the applicable payment method to be charged according to the subscription or purchase terms presented to you.

You are responsible for keeping your payment information current.

Taxes may be added where required by law.

We may change subscription plans, features, or pricing from time to time. Changes affecting an existing subscription will be communicated or implemented as required by applicable law.

12. Trials and Promotional Offers

MPL may offer free trials, promotional pricing, discount codes, competitions, or other promotional arrangements.

Additional terms may apply to individual promotions.

Where a trial automatically converts to a paid subscription, the applicable price, renewal conditions, and cancellation information will be disclosed as required before the subscription begins.

Promotional offers may be modified or withdrawn subject to applicable law.

13. Cancellation and Refunds

Users may cancel subscriptions using the cancellation functionality made available through their account or the applicable purchasing platform.

Cancellation generally prevents future renewal but does not automatically create a right to a refund for amounts already paid.

Refund rights will be determined according to the terms presented at purchase and applicable consumer law.

Nothing in these Terms limits statutory cancellation, withdrawal, refund, or consumer rights that cannot legally be excluded.

14. Acceptable Use

You agree not to:

• use the Platform for unlawful purposes;
• attempt to gain unauthorized access to accounts, systems, or data;
• interfere with Platform security or operation;
• introduce viruses, malware, malicious code, or harmful technology;
• scrape or automatically extract Platform content without authorization;
• impersonate another person or organization;
• submit fraudulent information;
• harass, threaten, exploit, or abuse others;
• infringe intellectual property or privacy rights;
• circumvent subscription, payment, access, or usage restrictions;
• misuse AI functionality;
• use automated systems to place an unreasonable burden on the Platform;
• attempt to reverse engineer protected Platform technology; or
• use MPL in a manner that could harm MP Nerds LLC, MPL, other users, or third parties.

We may investigate suspected violations and take appropriate action.

15. Platform Availability

We aim to maintain reliable Platform access but cannot guarantee uninterrupted availability.

The Platform may occasionally be unavailable due to:

• maintenance;
• upgrades;
• technical problems;
• security events;
• third-party service interruptions;
• network failures;
• circumstances outside our reasonable control; or
• changes to Platform functionality.

We may modify, update, suspend, or discontinue features as the Platform develops.

16. Privacy and Data Protection

Your use of MPL is also governed by the My Premium Learning Privacy Policy.

We process personal information in accordance with applicable privacy and data-protection requirements.

Users should review the Privacy Policy to understand what information may be collected, how it may be used, the circumstances in which it may be shared, and the rights available to users.

17. Security

We use reasonable measures intended to protect the Platform and user information.

However, no internet-based platform, storage system, or electronic transmission can be guaranteed to be completely secure.

You are responsible for protecting your credentials and devices and for notifying us promptly if you suspect unauthorized access to your account.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis.

MP Nerds LLC does not warrant that:

• the Platform will always be available;
• all information will be accurate or complete;
• AI-generated information will be error-free;
• the Platform will meet every user's requirements;
• learning outcomes will be achieved;
• all defects will be corrected; or
• the Platform will be free from every security vulnerability or harmful component.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, MP Nerds LLC and its affiliates, officers, directors, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or similar damages arising from your use of or inability to use the Platform.

This may include loss of data, revenue, profits, opportunities, educational outcomes, or other intangible losses.

Where liability cannot legally be excluded, our liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by law.

20. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless MP Nerds LLC and its affiliates, officers, employees, contractors, and representatives from claims, losses, liabilities, damages, and reasonable expenses arising from:

• your unlawful use of the Platform;
• your material violation of these Terms;
• your infringement of another person's rights; or
• User Content submitted by you.

This provision does not apply where prohibited by applicable consumer law.

21. Suspension and Termination

We may suspend, restrict, or terminate access where reasonably necessary because of:

• violation of these Terms;
• suspected fraud;
• misuse of Platform functionality;
• security concerns;
• unlawful activity;
• non-payment;
• abuse of other users or the Platform; or
• legal or regulatory requirements.

Where appropriate and legally required, we may provide notice or an opportunity to remedy the issue.

You may stop using the Platform at any time and may request account closure through the functionality or contact options provided by MPL.

22. Changes to the Platform

My Premium Learning will continue to evolve.

We may introduce new features, remove or modify existing functionality, change Platform interfaces, update AI systems, introduce new subscription options, or otherwise develop the service.

Where a material change affects users' contractual or statutory rights, appropriate notice will be provided where required by law.

23. Changes to These Terms

We may update these Terms periodically to reflect changes to the Platform, applicable law, technology, security requirements, or our business practices.

The updated version will display a revised "Last Updated" date.

Where legally required, we will provide additional notice of material changes.

Your continued use of the Platform following the effective date of updated Terms constitutes acceptance to the extent permitted by applicable law.

24. Consumer Rights

Nothing in these Terms is intended to remove, restrict, or override mandatory consumer rights available under applicable law.

Where local consumer law provides protections that conflict with these Terms, the mandatory legal protections will apply.

25. Governing Law and Disputes

These Terms are governed by the laws applicable to MP Nerds LLC, subject to any mandatory consumer protections or jurisdictional rights that apply to you.

Before initiating formal proceedings, users are encouraged to contact us so that we can attempt to resolve concerns directly.

Nothing in this section removes any mandatory right a consumer may have to bring proceedings before a court or authority with jurisdiction under applicable law.

26. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

27. No Waiver

Failure by MP Nerds LLC to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

28. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly applicable to particular MPL services, constitute the agreement between you and MP Nerds LLC concerning your use of the Platform.
